As a Legal Counsel and Compliance Officer at B. Braun you will play a vital role in following tasks
Your key responsibilities:
As Legal Counsel
- Assume full accountability for delivering high-quality, timely, and cost-effective legal services, including the drafting and negotiation of agreements, identification and management of legal risks (e.g., operational, claims), and providing legal advice as needed.
- Provide legal advice on both routine and complex commercial transactions, including mergers and acquisitions (M&A).
- Oversee contract management through Contract Lifecycle Management (CLM) system and deliver relevant training to employee users.
- Develop, maintain, and regularly update standard templates for agreements and other legal documents; conduct training sessions as required.
- Champion the digital transformation of legal processes, including the implementation of e-signature solutions.
- Design and implement IT- and AI-driven processes to improve the efficiency of legal operations.
- Conduct legal training programs for employees on relevant legal and regulatory topics.
- Advise business units on responding to information and document requests from regulatory authorities.
- Coordinate board and general meetings, including all necessary follow-up actions.
- Prepare board resolutions, meeting minutes, shareholder resolutions and other legal documents required under applicable Corporate Laws.
- Provide guidance on corporate governance practices and ensure compliance with relevant corporate, intellectual property, and other legal frameworks.
- Offer legal support in developing a corporate and social sustainability framework.
- Manage the formation, incorporation, and articles of companies, as needed.
- Serve as custodian of corporate records, statutory books, and registers.
- Advise business units on the filing and registration of legal documents, including forms, returns, and applications.
- Manage all matters related to company shares, including transfers and transmissions.
- Maintain and manage relationships with external legal advisors.
- Plan and monitor legal department budgets and expenditures.
- Lead the resolution of major disputes through mediation or litigation, minimizing business impact.
- Monitor and analyze legislation affecting the organization, ensuring relevant stakeholders are informed of changes.
- Foster collaborative and productive relationships across the organization and with key external stakeholders; represent the company in external forums when required.
- Uphold and promote the organization’s values and leadership principles through exemplary conduct.
As Compliance Officer
- Implements group guidelines and adapts them to local requirements.
- Conducts audits and reviews to ensure compliance standards are met.
- Leads and investigates compliance incidents, identifies root causes, and takes corrective actions.
- Regularly trains and informs employees on compliance topics and prepares related documentation.
- Submits required reports to the Regional Compliance Officer and regulatory authorities.
- Ensures compliance with healthcare and regulatory standards, and monitors transfers of benefits to medical professionals and organizations.
- Works closely with internal stakeholders, external legal counsel and experts on compliance matters.
- Actively participates in compliance working groups within the medical technology industry.
- Promotes a corporate culture that upholds and exceeds ethical and legal standards.
What you will bring to the team:
- More than 8 years of working as lawyer or in-house counsel
- More than 3 years of working at Healthcare Industry
- Japanese: Native/ Fluent level
- English: Business/Proficient level
Reporting Line:
- Reports disciplinary to the Managing Director B. Braun Aesculap Japan and functionally to the Head of Legal and Compliance APAC.
Compliance Scope:
- Ensure compliance with JPMA, EFPIA, FCPA, and local healthcare regulations
- Manage internal whistleblowing system and conduct internal investigations together with HR.
Global Collaboration / Legal and Compliance support:
- Collaborate with APAC countries’ Legal and Compliance teams
- Provide Legal and Compliance support/ advice to the APAC Region.
